Sample NDA
Draft Standard terms pending review by counsel in India and the US before launch.
The short version
Plain language · not legally binding- You accept this NDA with one click before downloading a sample.
- Use the sample only to decide whether to license the dataset.
- Keep it confidential and share it only with people who need it for the evaluation.
- Delete it when you're done, or within 30 days, and never try to re-identify anyone.
- Don't go around Quarry to the data owner for 12 months.
The numbered sections below are the terms that apply.
1. Agreement
This Sample Non-Disclosure Agreement ("NDA") is between Quarry and the organisation on whose behalf the person clicking "I agree" acts (the "Recipient"). That person confirms they have authority to bind the Recipient. It applies to every sample the Recipient downloads while it is in effect.
2. Confidential information
"Confidential Information" means every sample, its manifest and metadata, the deal sheet fields disclosed after this NDA, the identity of any data owner, and anything else Quarry discloses about a listing that is marked or reasonably understood to be confidential.
It does not include information the Recipient can show was already public through no fault of its own, already lawfully known to it without restriction, independently developed without use of the Confidential Information, or lawfully received from a third party without a duty of confidence.
3. Use only to evaluate
The Recipient may use Confidential Information only to evaluate whether to license the relevant dataset (the "Purpose"). It must not use any sample to train, fine-tune or benchmark a model beyond a limited technical evaluation of the sample itself, and must not combine a sample with other data except for that evaluation.
4. Confidentiality
The Recipient must keep Confidential Information confidential, protect it with at least reasonable care, and disclose it only to employees and contractors who need it for the Purpose and are bound by obligations at least as strict. It may disclose information where required by law, after giving Quarry prompt notice where lawful.
5. No re-identification
The Recipient must not attempt to re-identify any individual or link a sample with other data to identify people. If any part of a sample appears to identify a person, the Recipient must stop using it, delete it and tell Quarry within 5 business days.
6. Deletion after evaluation
The Recipient must delete every copy of a sample when the evaluation ends, and in any event within 30 days of download unless Quarry agrees a longer period in writing, and confirm deletion on request. Download links expire automatically.
7. No contact with the owner outside Quarry
For 12 months after downloading a sample, the Recipient must not contact the data owner identified through Quarry, or anyone acting for it, to acquire the same or substantially similar data other than through Quarry, unless the Recipient had an existing relationship with that owner for such data which it can document.
8. Term and remedies
This NDA lasts for 2 years from acceptance; obligations for each sample survive for 3 years after its download, and the re-identification ban survives indefinitely. A breach may cause harm for which damages are not an adequate remedy, so Quarry may seek injunctive relief in addition to any other remedy.
9. General
Samples are provided as is, with no warranty. This NDA does not oblige either party to enter a licence. It is governed by the laws of India, with the courts at Bengaluru, Karnataka having exclusive jurisdiction, except that Quarry may seek injunctive relief in any competent court.
